1. About the Services

Simpson | McCrady is a Pittsburgh-based independent insurance brokerage serving individuals, families, and businesses with complex coverage needs. Our two primary client groups are high net worth (HNW) and ultra-high net worth (UHNW) individuals and families — including those with multiple properties, fine art, jewelry, and recreational vehicles — and middle-market business owners and decision-makers at privately-held companies with commercial insurance premiums generally ranging from $50,000 to $250,000, across industries including technology, real estate, manufacturing, professional services, non-profits, schools, and entertainment. We work primarily across Pittsburgh, Western Pennsylvania, and the Mid-Atlantic region.

The Site is an informational and lead generation resource. It does not itself bind, issue, or administer insurance policies, and no insurance coverage is created or modified through use of the Site.

We may modify, suspend, or discontinue the Services (or any part of them) at any time, with or without notice. We are not liable to you or to any third party for any modification, suspension, or discontinuation of the Services.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement.

3. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
• Infringe the intellectual property, privacy, or other rights of any third party;
• Upload, post, or transmit any content that is unlawful, harmful, defamatory, harassing, or otherwise objectionable;

• Reverse engineer, decompile, or otherwise attempt to derive the source code of any portion of the Services.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these Terms, including without limitation removing the offending content, suspending or terminating access, and reporting the violator to law enforcement.

4. Intellectual Property

You represent that you own or otherwise have all rights necessary to grant this license.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. Your interactions with any third party are solely between you and that third party.

WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL [Simpson McCrady legal entity name — please confirm, e.g., Simpson McCrady, Inc. or Simpson McCrady, LLC] OR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SITE OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

9. Indemnification

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction of those courts.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page and update the "Effective Date" above. Your continued use of the Site or Services after the changes take effect constitutes your acceptance of the revised Terms.

12. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason, including a breach of these Terms. Upon termination, all rights granted to you under these Terms will immediately cease.

13. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with any other policies or agreements expressly referenced here (including our Privacy Policy), constitute the entire agreement between you and us regarding the Site and Services and supersede any prior agreements.
